When this helps.

You are under LOI, or preparing to investigate a specific business. The seller is sharing records, advisers have questions, and your exclusivity window is running. You need to see which requests are outstanding and which findings still need a response.

Use the deal room to coordinate the work and prepare the next conversation with the seller, broker, lender, attorney, or CPA.

Give every finding a place.

  • Enter the business, buyer, price, and key dates.
  • Work through financials and tax, customers, operations, employees, legal matters, premises, deal terms, financing, digital assets, and market durability.
  • For each check, see what to request, why it matters, and what a possible red flag looks like.
  • Mark it Not started, Requested, Received, Cleared, Flagged, or N/A. Add your findings and document references in the notes.
  • Filter by category or status, search checks and notes, and follow progress and deadline countdowns.

What you receive.

The complete Due-Diligence Deal Room HTML application and a quick-start guide in one ZIP. It works offline in a desktop browser without Excel, installation, a subscription, or a product account.

The application organizes requests and findings. Keep the seller’s source documents separately and reference them in your notes; this is not a shared document-storage service.

Keep the work as the deal develops.

Extract the ZIP and open due-diligence-deal-room.html. Load sample deal shows a fictional investigation. Export your own work before loading the sample.

Browser saving keeps the current deal where storage is available. Use Export (.json) to keep a separate backup for each deal or revision; Import restores it. Export also provides a download link and selectable JSON text if automatic downloading is blocked. Browser storage does not sync across devices and is not a permanent backup.

Choose a report, then Print / Save PDF for a reading copy. Tailor the requests, interpret findings, and decide how to resolve them with your attorney and CPA.
